These Terms and Conditions ("Terms") govern your use of the website westwoodexhibits.com and the services provided by Westwood Exhibits ("Company," "we," "our," "us"). By accessing our website, requesting a quotation, or engaging our services, you ("Client," "you") agree to be bound by these Terms.

1. About Us

Westwood Exhibits is a custom exhibition stall design, fabrication, and installation company based in Noida, Uttar Pradesh, serving clients across Delhi NCR, Mumbai, Bangalore, and Kolkata.

2. Scope of Services

We provide design conceptualization, fabrication, on-site installation, and dismantling of exhibition stalls and related structures for trade shows, exhibitions, and events, as mutually agreed in writing (via Proforma Invoice, Work Order, and/or Design Approval Form) for each project.

3. Quotations and Proforma Invoices

  • All quotations are provided based on the information, dimensions, and requirements shared by the client at the time of enquiry.

  • A project is confirmed only upon written acceptance of the Proforma Invoice and receipt of the advance payment specified therein.

  • Quotations are typically valid for a limited period (as stated on the respective document) and are subject to revision if project scope, venue rules, or material costs change.

4. Design Approval

  • A Design Approval Form will be shared with the client prior to fabrication.

  • Fabrication will commence only after the client provides written approval of the final design.

  • Any changes requested after design approval may incur additional charges and may affect the delivery timeline.

5. Payment Terms

  • Payment terms (including advance percentage and balance payment schedule) are specified in the Proforma Invoice issued for each project and may vary based on project scope, materials, and timeline.

  • All invoices are subject to applicable GST (IGST for inter-state transactions, CGST/SGST for intra-state transactions) as per prevailing Indian tax law.

  • Balance payments must be cleared as per the schedule mentioned in the invoice; delayed payments may result in delayed handover, installation, or dismantling of the stall.

6. Client Responsibilities

The client agrees to:

  • Provide accurate stall dimensions, venue rules, and show schedule information

  • Provide timely feedback and approvals at each project stage

  • Ensure venue access and necessary permissions/passes are arranged for our installation team

  • Make payments as per the agreed schedule

7. Timelines

Delivery and installation timelines are estimated based on project scope and are communicated in the Work Order. While we make every effort to meet agreed timelines, delays caused by venue restrictions, client-side approvals, force majeure events, or third-party dependencies (e.g., show organizer schedules) are not the responsibility of Westwood Exhibits.

8. Ownership and Intellectual Property

  • Design concepts, renders, and drawings created by Westwood Exhibits remain our intellectual property until full payment is received.

  • Unless otherwise agreed in writing, exhibition stall structures are custom-built for single-use per the specific show and are not warrantied for repeated use/reinstallation at other venues without prior assessment.

9. Limitation of Liability

Westwood Exhibits' liability for any claim arising from a project shall not exceed the total invoice value of that specific project. We are not liable for indirect, incidental, or consequential losses, including loss of business or reputational damage, arising from event postponement, venue issues, or force majeure events beyond our control.

10. Cancellations and Refunds

Cancellations and refunds are governed by our separate [Refund and Cancellation Policy], which forms part of these Terms.

11. Insurance

Unless explicitly agreed and invoiced separately, the client is responsible for insuring the stall, fixtures, exhibits, and any goods displayed at the venue against theft, fire, or damage during the exhibition period.

12. Force Majeure

Westwood Exhibits shall not be held liable for failure or delay in performance due to causes beyond our reasonable control, including natural disasters, government orders, strikes, venue-related restrictions, or show cancellation/postponement by organizers.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Gautam Buddh Nagar, Uttar Pradesh.

14. Amendments

We reserve the right to update these Terms at any time. Continued use of our website or services after such changes constitutes acceptance of the revised Terms.
